Bernhard A. Fichtenthal
Bernhard is an investment banking / M&A / corporate finance – expert. Over the past decade he successfully advised numerous transactions in different industry sectors incl. energy, financial services, infrastructure, communications and real estate. Bernhard holds a Master’s degree from the Vienna University of Economics and Business Administration (WU).

Alexander Rapatz
Alexander brings in over 15 years of working experience in top-tier law firms, venture capital and investment brokerage business. His areas of expertise include legal structuring of investment products, regulatory compliance, as well as corporate & project finance. Throughout his career he was responsible for structuring and execution of investment transactions, due diligences, negotiation of participation agreements and investment monitoring.

Igor Hadziahmetovic
Igor is a crypto-native with over 7 years of hands-on experience in the Web3 ecosystem, complemented by an MSc in Blockchain and Digital Currency from the University of Nicosia, Cyprus. His expertise includes fundamental and technical research, tokenomics and on-chain analysis, as well as cross-chain portfolio management. Igor has supported various dApps as a beta tester and advisor, while authoring an analytical and educational publication on Web3 tech developments. He has also led conceptualization for innovative Web3 projects in their discovery and prototyping phases.

Denis Voldman
Denis is the team lead of the Investment Analytics team, his responsibilities encompass managing the dealflow and analysing complex business models for investment decisions. He is accountable for spotting, screening, and evaluating startups, with an added focus on financial modelling, aiding Venionaire’s clients with financial engineering and valuations. He assesses portfolio startups’ development and mentors junior team members. Furthermore, Denis offers strategic support to our clients in fundraising, including pitch deck preparation, financing strategy advice, investor meeting preparation, and networking with potential investors.
Prior to Venionaire, he gained professional experience working on international projects between Russia and China. Holding an undergraduate degree in International Business Administration with a finance major from Lauder Business School, he is currently pursuing a graduate degree in Strategic Finance & Business Analytics from the same institution.

Sofiya Lyn
Sofiya is responsible for managing reports and overseeing various dealflow activities, including fundraising efforts and continuously updating startup information. She plays a key role in sourcing, evaluating, and selecting potential portfolio startups. Her expertise lies in Data Analytics and dealflow automation, where she leverages her skills in Python, Bloomberg, and Excel. Additionally, she supports the Venionaire Web3 fund. Sofiya earned a Bachelor of Arts in “Ethics, Politics, and Economics” from the Ukrainian Catholic University in Lviv, Ukraine, graduating magna cum laude. Recently, she added to her academic achievements by obtaining a Master of Arts in “Economic Policy in Global Markets” from Central European University. Her educational journey continues as she prepares for the CFA certification. Sofiya also brings valuable experience in international cooperation, gained from her roles at the Economic Department of the Ukrainian Embassy in Austria and the Consulate of Canada in Lviv.

Makar Vergovskiy
Makar focuses on screening and evaluating startups. He contributes to the team by preparing quarterly reports and supporting fundraising efforts. He is also responsible for conducting risk monitoring for the Venionaire Web3 fund. Makar is currently pursuing bachelor’s degrees at two universities in Vienna: at Wirtschaftlicheuniversität Wien (WU) and Lauder Business School, maintaining strong academic performance. He holds the FMVA certification (Financial Modeling and Valuation Analyst). Prior to Venionaire, Makar worked as a Business Analyst, conducting business performance evaluation, legal and market research, and bearing accounting responsibilities. Outside of work, Makar enjoys coding and runs a blog where he publishes interesting reports and articles from the financial world.

The wording below constitutes Venionaire Investment GmbH disclosures in accordance with the EU Sustainable Finance Disclosure Regulation (2019/2088) („SFDR“) when acting as a manager under the AIFMD.
- Sustainability risks
This section constitutes our disclosure in accordance with Article 3(1) of the SFDR.
The policy on the integration of sustainability risks in our investment decision making process can be found in our ESG Policy (“How Venionaire incorporates ESG in the analysis of companies”).
- No consideration of adverse impacts of investment decisions on sustainability factors, and no consideration of adverse impact of investment advice on sustainability factors
This section constitutes our disclosure in accordance with Article 4 (1b) of the SFDR.
The SFDR requires us to make a “comply or explain” decision whether to consider the principal adverse impacts (“PAIs”) of investment decisions on sustainability factors in our investment advice or our investment decision-making processes, in accordance with a specific regime as outlined in SFDR. We have decided not to comply with the SFDR regime. We are therefore required to publish and maintain on our website a statement to explain our reasons for not complying with the PAI regime in SFDR, and information as to whether and when we intend to comply with such regime.
We have carefully evaluated the requirements of the PAI regime in Article 4 SFDR, and in the draft Regulatory Technical Standards which were published in February 2021 (the “PAI regime”).
We are supportive of the policy aims of the PAI regime, to improve transparency to clients, investors and the market, as to how financial market participants and financial advisers integrate consideration of the adverse impacts of investment decisions on sustainability factors. However, taking account of the nature and scale of our activities and the types of products we make available, we consider that it would be disproportionate to comply with the specific regime in the SFDR.
We will keep our decision not to comply with the PAI regime under regular review, and will formally re-evaluate the decision from time to time.
Notwithstanding our decision not to comply with the PAI regime, we wish to re-affirm our overall commitment to environment, social and governance (“ESG”) matters. In our ESG-Policy, we summarise the positive ESG-related initiatives and policies adopted by us. For the avoidance of doubt, none of the following information is intended to suggest that we comply with the PAI regime.
Despite the above, we continue to advocate ESG reporting and aims to further strengthen the data input from the underlying issuers. We seek an active dialogue with relevant stakeholders to encourage them to improve their own ESG approach, including on reporting, and to consider adopting generally accepted standards.
- Integration of sustainability risks in remuneration policy
This section constitutes our disclosure in accordance with Article 5 (1) of the SFDR.
Our remuneration program is designed to align the interests of our staff, investors, and clients and aims to compensate professional and support staff fairly, appropriately, and objectively.
We have linked our fixed and variable remuneration to a proof of compliance with the existing policies. References to compliance with the ESG policy and sustainability risks are part of our assessment criteria when reviewing the performance of our staff.
